Terms of Use

Welcome to Pix Online. This document sets out the terms of use (the "Terms") that apply to any use of the platform, its services and the website https://www.pix-online.com. Please read them carefully before you start using the service. Using the platform constitutes full acceptance of these Terms.

1. Definitions

  • "Platform" — the website www.pix-online.com, every subdomain related to it, and the Desktop Uploader application.
  • "Service" — all of the content, tools, APIs and functionality offered through the Platform.
  • "User" / "Photographer" — any person or entity using the Platform, including registered photographers and their clients.
  • "Content" — any file, image, video, document, text or data uploaded, stored, shared or generated through the Platform.
  • "Account" — a personal account opened by a User in order to use the Platform.
  • "Plan" — a subscription plan (Free, Basic, Pro, Business, Unlimited) as presented on the Platform.

2. Acceptance of the Terms and eligibility

Using the Platform constitutes irrevocable acceptance of these Terms, of the Privacy Policy and of any additional policy published from time to time. If you do not agree, stop using the Platform immediately.

The Platform is intended for people aged 18 and over. Use by minors is subject to the consent of a parent or legal guardian, who bears full responsibility.

Pix Online reserves the right to refuse service, cancel an account or restrict access to the Platform at its sole discretion.

3. User account and security

Registering on the Platform requires accurate and up-to-date details. Providing false information may lead to the account being cancelled.

  • You are solely responsible for keeping your username, password and any other means of access to your account confidential.
  • Any activity carried out through your account — including downloads, shares, purchases and changes — is your full responsibility.
  • Suspect that your account has been compromised? You must notify support@pix-online.com immediately.
  • Pix Online is not responsible for damage resulting from giving your access details to a third party.
  • An account may not be transferred, sold or shared with another person.

4. User content — ownership, license and responsibility

Ownership: you keep full ownership of all the content you upload. Pix Online does not claim ownership of your photos.

License to the Platform: by uploading content you grant Pix Online a non-exclusive, royalty-free, worldwide license to use, store, process, reproduce and transmit the content solely for the purpose of providing the service to you and to your authorized users.

Your responsibility: you represent and undertake that:

  • All the content you upload belongs to you, or you have full legal permission to use it.
  • Uploading the content does not infringe copyright, publicity rights, privacy or any other right of a third party.
  • You have obtained all the required consents from the people appearing in your photos, including consent to the processing of facial data using AI.
  • The content does not contain illegal, offensive, obscene, inciting or discriminatory material.

Pix Online reserves the right (but not the obligation) to remove content that violates these Terms, without prior notice and without compensation.

5. Photo storage — policy, responsibility and quality

The Platform must not be treated as a backup service — in any way. Pix Online provides a service for managing and sharing galleries for professional purposes only. The Platform is not a backup service, is not an archive, and must not be relied on as the only place where photos are kept. The company does not undertake, and is not responsible for, long-term retention of photos, archival storage, keeping particular versions, or restoring deleted files. It is entirely your duty to keep independent backup copies of all your original files at all times. Pix Online bears no responsibility for the loss of photos, whether as a result of a technical fault, accidental deletion, a storage provider failure, a service interruption or any other cause.

Quality: the Platform processes and stores photos in several resolutions (thumbnail, web display and high resolution). This processing may include compression, resizing, format conversion and creating additional versions for optimization, performance and preventing unauthorized access (watermarking). Pix Online does not guarantee that a full original file will be kept in its original version forever.

Moving between servers and storage: Pix Online reserves the right, at any time and without prior notice, to do any of the following:

  • Move photos, data and any content between different storage providers (including Cloudflare R2, AWS S3, Google Cloud Storage, self-hosted servers or any future storage provider).
  • Change internal file URLs, the CDN and the storage folder structure — including changing file names, formats and access paths.
  • Change CDN (Content Delivery Network) providers and geographic server locations.
  • Compress files further, convert between formats (JPEG, WebP, AVIF) or change stored versions.
  • Stop supporting certain formats and move to more modern ones.
  • Change the policy on keeping versions, the number of stored resolutions and the compression levels.

Such changes do not entitle the User to any compensation, refund or claim. Pix Online will make reasonable efforts to keep content available during migrations but does not undertake zero downtime.

Content lifetime — no guarantee of availability:

Pix Online does not undertake that content will be available for any period of time. Photos, galleries and any other content may become unavailable, corrupted or permanently deleted at any time, for any reason, including — but not limited to — any of the following cases:

  • Photos and content that have not been viewed or active for 12 consecutive months may be deleted without prior notice.
  • Galleries in "draft" status that are not published for 48 consecutive hours may be deleted automatically.
  • An account that has been inactive for over 180 days may be suspended; after 90 more days, its data may be permanently deleted.
  • Cancelling a subscription may restrict access to content. After a 30-day grace period, content may be permanently deleted.
  • Manually deleting a photo or gallery is irreversible. Pix Online is under no obligation to restore deleted content.
  • Pix Online reserves the right to close, suspend or change the Platform at any time and for any reason, including business, technical or regulatory reasons — without prior notice and without any liability.
  • If the Platform closes, Pix Online will make reasonable efforts to give 30 days' notice, but does not undertake to do so and is not responsible for any damage caused by the closure.

In summary: it is your duty to export and back up all your content regularly and independently. Do not rely on Pix Online as the only source of your photos.

6. Face recognition and AI

The Platform includes an artificial intelligence ("AI") face recognition feature that lets clients find the photos they appear in.

  • Face recognition processing takes place partly on the client side (in the browser). Pix Online may store facial feature data ("descriptors") to improve accuracy.
  • By turning on face recognition in your gallery, you represent that you have obtained the consent of the people photographed to the processing of biometric data, as required by applicable privacy law and by the GDPR where it applies.
  • Pix Online does not guarantee complete accuracy of recognition results and is not responsible for mixed-up identities, wrong matches or missed matches.
  • Face recognition can be turned off at any time in the gallery settings.

7. Digital contracts and forms

The Platform lets you create branded contracts, send them to clients for digital signature and manage submissions. A unique reference number is assigned to every signature.

  • You are solely responsible for the content of your contracts, their legal validity and their compliance with the applicable law.
  • Pix Online is not a regulated trust service provider, is not a lawyer, and is not responsible for the legal validity of contracts created on the Platform.
  • Signature data (including IP address, timestamp and access identifier) is kept for verification, but Pix Online does not undertake that it will be admissible in legal proceedings.
  • You are responsible for keeping copies of signed contracts in independent tools. Pix Online is under no obligation to keep submissions permanently.

8. Store, payments and commissions

The Platform lets photographers run a store selling physical and digital products (albums, prints, files), with payment processing through PayPal and/or other payment methods.

  • You are solely responsible for complying with consumer protection and sale-of-goods laws, and for collecting sales tax / VAT as required by law.
  • The Platform's commission on sales is charged according to the active subscription plan. Pix Online reserves the right to change commission rates with 30 days' notice.
  • Payments are processed by external providers (PayPal). Pix Online does not store credit card details and is not responsible for payment processing faults on the providers' side.
  • Disputes between a photographer and a client regarding purchases are the photographer's sole responsibility. Pix Online will cooperate with chargeback investigations but is not responsible for their outcome.
  • Placing an order through the Platform constitutes a direct agreement between the photographer and their client. Pix Online is not a party to the transaction.

9. Subscription plans, billing and price changes

The Platform offers several subscription plans (Free, Basic, Pro, Business, Unlimited). The features, storage and gallery limits of each plan are listed on the pricing page.

  • Pix Online reserves the right to change prices, plans and features with 30 days' notice to the registered email address.
  • A price change does not apply to a subscription period that has already been paid, only from the next renewal.
  • A subscription can be cancelled at any time; there is no pro-rated refund for part of a paid month.
  • Failure to pay on time may result in immediate account suspension, restricted access and deletion of content after a grace period.
  • The free plan is subject to storage and gallery-count limits. Pix Online may change the free plan's limits with prior notice.

10. Subdomain and public photographer page

Registered photographers receive a subdomain in the format username.pix-online.com and a public page to show clients.

  • The subdomain is provided as a service and does not confer any proprietary rights. Pix Online may change, suspend or cancel a subdomain at any time with 14 days' notice.
  • It is forbidden to register a subdomain resembling an existing business, protected brand names, offensive words or misleading expressions.
  • When an account is cancelled, its subdomain is released and may be assigned to another user.

11. Desktop application (Desktop Uploader)

The Platform offers a desktop application (Pix Online Uploader) for uploading photos directly from the photographer's computer.

  • The application is provided "as is", without warranty of any kind.
  • Pix Online reserves the right to update, change or discontinue the application at any time.
  • Storing access credentials on the user's computer is the user's sole responsibility.
  • Uploading large files may be subject to additional charges for the storage provider's data transfer.

12a. The Platform is not a party to the relationship between photographer and client

Pix Online is a technology platform only, providing tools for managing, sharing and selling content. The Platform is not a party to, and is in no way involved in, the contractual, commercial, legal or personal relationship between the photographer and their clients.

  • Any dispute, complaint, compensation claim or conflict between a photographer and their client — whether it concerns the quality of the work, delivery of photos, payment, cancellation, copyright or any other matter — is the photographer's sole responsibility and does not concern Pix Online at all.
  • Pix Online will not act as an arbitrator, mediator or third party in any dispute between a photographer and a client.
  • A client's use of a gallery, downloading of photos or making a purchase through the Platform does not create any legal relationship between the client and Pix Online.
  • The photographer is solely responsible for meeting their obligations to their clients, including delivering photos on time, keeping galleries active for the promised period, and providing service.
  • If a gallery is deleted, corrupted or becomes inaccessible — for any reason — Pix Online is not responsible for any damage caused to the photographer's clients, and any claim on the matter will be directed to the photographer.

In summary: Pix Online provides tools only. Everything that happens between the photographer and their clients is a matter between the photographer and the client alone.

12. Limitation of liability and disclaimer

The Platform is provided "AS IS" and "AS AVAILABLE", without any warranty, express or implied, including:

  • A guarantee of continuous availability without interruptions, faults, errors or data loss.
  • Accuracy, completeness, reliability or fitness for a particular purpose.
  • Keeping original files, photo quality or any other data for any period.
  • Compatibility with any device, operating system or browser.

In no event shall Pix Online, its management, employees, suppliers or partners be liable for damage of any kind, including:

  • Loss of income, profits, deals, clients or business opportunities.
  • Loss of data, photos, contracts or any content uploaded to the Platform.
  • Consequential, indirect, incidental, special or punitive damage.
  • Damage resulting from unauthorized access to an account, hacking, data theft or a security failure.
  • Damage resulting from moving between storage providers, URL changes or infrastructure changes.
  • Damage due to a service interruption, policy changes or the Platform shutting down.

In any event, the maximum financial liability of Pix Online shall not exceed the amount actually paid for the service in the 3 months preceding the event that caused the damage, and no more than ILS 500.

13. Indemnification

You undertake to indemnify and defend Pix Online, its management and employees against any claim, expense, damage and legal costs arising from:

  • A breach of these Terms.
  • Illegal, offensive or infringing use of the Platform.
  • Infringement of third-party rights (copyright, privacy, publicity).
  • Disputes between the photographer and their clients regarding purchases, contracts or service.
  • Unauthorized use of the face recognition feature without the consent of the people photographed.

14. Pix Online's intellectual property

All rights in the Platform, including its design, code, logo, product name, user interface, algorithms and features, are reserved to Pix Online.

  • You may not copy, modify, decompile, imitate, scrape or create derivative products from the Platform without written permission.
  • The trade names, trademarks and logos of Pix Online may not be used without permission.
  • API access is provided subject to separate terms of use that will be set.

15. Prohibited use

It is strictly forbidden to use the Platform to:

  • Upload content that infringes copyright, patents, trademarks or publicity rights.
  • Upload violent, pornographic, obscene, racist, inciting or illegal content.
  • Upload photos of minors without parental consent and/or contrary to the law.
  • Use bots, scrapers or automation tools to access the Platform without permission.
  • Attempt to bypass security measures, encryption, DRM or protection mechanisms.
  • Distribute malware, viruses or harmful code.
  • Create multiple accounts for the same user in order to get around limits.
  • Put excessive load on the Platform's servers.

16. Service availability and maintenance

Pix Online does not undertake 100% availability and does not guarantee zero downtime. The Platform may be unavailable due to:

  • Planned updates and maintenance — announced in advance where possible.
  • Technical faults, server failures, provider faults or natural disasters.
  • Cyber attacks, DDoS or security incidents.
  • Changes in regulation or legal requirements.

Downtime does not entitle the User to compensation, a refund or cancellation of the subscription, unless the Platform was down in a material and ongoing way (more than 72 consecutive hours), at the discretion of Pix Online.

17. Privacy and personal data

The Platform collects and processes personal data in accordance with the Privacy Policy. By using the Platform you agree to the collection and processing of data as described there.

  • Usage data, analytics and logs are encrypted and kept to improve the service.
  • Client data collected through galleries (email addresses, names) belongs to the User, but Pix Online stores it in order to provide the service.
  • Facial data processed by AI is stored encrypted and separated from personal identity. You can request its deletion.

18. Changes to the Terms

Pix Online reserves the right to change, update or replace these Terms at any time. Notice of material changes will be given:

  • By email to the registered address — at least 14 days in advance for material changes.
  • By publishing the updated version on this page with a new update date.
  • Through a notice in the interface at the first sign-in after the change.

Continuing to use the Platform after the changes take effect constitutes acceptance of the new Terms.

19. Account termination and data deletion

By the User: you can request deletion of your account at any time by contacting support@pix-online.com. Once the request is confirmed, your data will be removed within 30 days.

By Pix Online: Pix Online may cancel an account, suspend access and delete content:

  • For a breach of these Terms.
  • For non-payment lasting more than 30 days.
  • By court order or legal requirement.
  • When the Platform ceases operating — 90 days' notice will be given, with an option to export data.

When an account is cancelled, the license you granted Pix Online ends, but the company may keep copies in backups for up to 90 more days for fraud prevention and legal purposes.

20. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel. Any dispute arising from the use of the Platform will be resolved before the competent courts in Tel Aviv-Jaffa.

The parties will first try to resolve any dispute through direct negotiation. If no resolution is reached within 30 days, either party may go to court.

21. Force majeure

Pix Online will not be liable for any failure, delay or service interruption resulting from circumstances beyond its reasonable control, including natural disasters, wars, cyber attacks, global infrastructure failures, regulatory changes, pandemics or failures of third-party providers.

22. Severability

If any provision of these Terms is found to be unenforceable, this shall not affect the validity of the remaining Terms, which will continue to apply in full.
